These Terms of Service ("Terms") govern your access to and use of the services, platform, and website provided by Rocliff LLC, doing business as Scale National ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services

Scale National provides a done-for-you business system for contractors and home service businesses, including: a professionally built website, a white-label CRM powered by GoHighLevel, missed call auto text-back, Google review automation and saturation, SEO services, and related customer management tools. Our services are designed to help contractors capture, manage, and retain customers automatically.

2. Account Registration

To use our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.

3. Subscription and Payment

• Billing: Services are billed on a recurring every-4-weeks or annual basis as specified in your subscription plan. All fees are stated in U.S. dollars.
• Payment: Payment is due at the start of each billing cycle. We use Stripe to process payments securely. By providing payment information, you authorize us to charge your payment method for all applicable fees.
• Price changes: We may change pricing with at least 30 days' advance written notice. Continued use after the change constitutes acceptance of the new pricing.
• Taxes: You are responsible for all applicable taxes. Prices do not include taxes unless stated otherwise.
• Refunds: All fees are non-refundable unless otherwise stated in your service agreement or required by law.

4. Cancellation

• You may cancel your subscription at any time by contacting us at [email protected] or through your account settings.
• Cancellation takes effect at the end of the current billing period. You will retain access to services until then.
• Upon cancellation, your data will be retained for 30 days, after which it may be permanently deleted. You may request an export of your data before deletion.
• We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with reasonable notice.

5. Acceptable Use

You agree not to use our services to:

• Violate any applicable law, regulation, or third-party rights.
• Send unsolicited messages (spam), including SMS, email, or calls that violate the TCPA, CAN-SPAM Act, or similar regulations.
• Transmit malicious code, viruses, or anything designed to disrupt or damage our platform.
• Impersonate any person or entity or misrepresent your affiliation.
• Access or attempt to access other users' accounts or data without authorization.
• Use the platform for illegal, deceptive, or fraudulent activities.
• Resell, sublicense, or redistribute our services without written authorization.

6. Intellectual Property

All content, features, and functionality of our platform (excluding your data) are owned by Rocliff LLC and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of the data you upload to our platform. By using our services, you grant us a limited license to use your data solely to provide and improve our services.

7. Third-Party Services

Our platform integrates with third-party services including GoHighLevel, Stripe, Twilio, Meta, and others. Your use of these services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use our services.
• Our total aggregate liability for any claims arising from these Terms or your use of our services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
• We do not guarantee specific results, outcomes, or performance from using our services.

9. Indemnification

You agree to indemnify, defend, and hold harmless Rocliff LLC, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Data and Privacy

Your use of our services is also governed by our Privacy Policy. You are responsible for ensuring that your use of the platform complies with applicable data protection and privacy laws, including obtaining necessary consents from your contacts and customers.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the revised Terms on this page and updating the "Last updated" date. Your continued use of our services after modifications constitutes acceptance of the updated Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
